CT InsureTech to be acquired by Vencora, an operating group of Constellation Software Inc.
US Third-Party Administration business to be acquired by AvonRisk
Remaining business units to benefit from continued investment in innovation under longstanding management led by Rob Brown as CEO
LONDON, UK – AUGUST 2026 – Charles Taylor, a leading provider of claims solutions and enterprise technology services to the global insurance market, today announces it has agreed the sale of Charles Taylor’s InsureTech (“CT InsureTech”) to Vencora, and its US Third-Party Administration business (“US TPA”) to AvonRisk. This milestone represents the next phase in Charles Taylor’s development, positioning its remaining platform for long-term growth, innovation and the development of its market-leading people and client services.
Vencora, a global buy-and-hold-forever acquirer of banking, financial services and insurance technology companies, has agreed to acquire CT InsureTech, a provider of Software as a Service (“SaaS”) based dedicated technology business and software provider for the global insurance industry. Vencora are the dedicated insurance software and services platform of Constellation Software. This acquisition will provide CT InsureTech with the financial strength, knowledge and industry expertise to accelerate the development of its leading capabilities built over the past decade. The combination with Vencora, which has a proven track record in carve-out acquisitions, will enhance access to a broader global market, strengthening CT InsureTech’s position as a leading provider of technology solutions.
AvonRisk, a national, independent speciality risk manager and third-party administrator, has agreed to acquire Charles Taylor’s US TPA, a leading provider of claims management and managed care solutions across the United States, supporting employers, municipalities, insurers and mutual organisations. AvonRisk has built a holistic risk management partner for organisations of all sizes by bringing together seasoned specialty claims handling teams, strong ancillary specialists and AI-enabled technology, while reinforcing the boutique, customised approach that its clients love. The acquisition of Charles Taylor’s US TPA accelerates that mission and reinforces each of those capabilities. US TPA and its clients will gain AvonRisk’s technology, talent and resources, while joining other specialty claims leaders in an organisation built around the same boutique approach that has set US TPA apart.
The remainder of the Charles Taylor business, comprising Claims Adjusting, Assistance and its UK Claims business, will benefit from continued investment in innovation and the development of its people and client services. By leveraging its market-leading talent through a stable platform for growth, Charles Taylor looks forward to building market leadership in the high-value and complex claims management market.

Charles Taylor is being advised by leading firms, including Fenchurch Advisory. The financial terms of these transactions were not disclosed. Completion of these transactions is subject to customary closing conditions. In the meantime, Charles Taylor is operating as usual, with the ongoing support of its existing sponsor, lenders and leadership team. There will be no changes to client relationships and they will continue to receive the high quality of service they have come to expect from Charles Taylor.
